The primary purpose and business of SCIREAT LLC is to serve as a holding company. In furtherance thereof, Scireat is organized to: (a) own, control, and govern the Portfolio Companies (as defined in Section 2.3); (b) allocate capital, resources, and strategic direction among the Portfolio Companies consistent with the holding company's overall mission and financial objectives; (c) receive and consolidate distributions, dividends, and investment returns flowing upward from the Portfolio Companies pursuant to Article VII; and (d) pursue such other lawful business activities, whether as principal or through subsidiary entities, as the Manager may determine to be in the best interests of the Company.
